民國107年7月立法院通過公司法修正草案，然而其中的公司法草案第193-1條董事資訊權條文受到朝野立法委員的強力阻擋，未能成功立法，業界對該條文亦多表示擔憂，並認為若董事擁有過大的資訊權可能會造成洩漏營業秘密等侵害公司權益之情事發生。然事實上，主管機關經濟部從民國76年起，已多次肯定董事有查閱公司簿冊之權利，法院實務與學者亦多肯認與支持董事應有查閱公司簿冊文件之權利，惟就董事的查閱請求權基礎、查閱範圍、查閱限制以及相關配套措施，仍有諸多歧見，尚未出現完整且全面的討論。 本論文透過比較美國法與我國法上法規條文與實務判決的方式，進行全面性分析與歸整，並汲取美國法各州經驗與判決思考方
向，以加強董事資訊權的請求理論基礎與實務，並區辨美國法實務與我國法實務見解之差異，調整其值得借鏡與參考之處。藉由探究美國法上之經驗，本論文提出我國董事資訊權制度的修法建議，認為在董事為執行職務，具有正當目的之情形下，應享有查閱公司簿冊文件等權利，以忠實執行職務並盡善良管理人之注意義務，然若董事有侵害公司利益等利害衝突情事，法院亦應予以適當限制。 再從公司治理的角度思考，參考金管會規劃的「公司治理3.0-永續發展藍圖」，強調應強化董事會職能，提升企業永續價值，可認董事資訊權之明文立法，乃係牽動公司治理的重要一線。因此，本論文深入探討董事資訊權制度之建立，並力求「保護董事的重要資訊權利」與「
維護公司的商業利益」之適當平衡，以解決實務上長久以來的董事查閱爭議，期望發展出有利於我國董事、公司、商業活動的市場環境。
