公司獨立法人格及股東有限責任制度，為現代公司法之基石。藉由上述制度得使股東與公司之人格分離，亦可達成財產風險分離之結果。該制度之目的在於使股東得免於商業風險，以鼓勵投資及促進商業發展。為避免公司獨立法人格及股東有限責任制度遭到濫用，因此英美法實務逐漸發展出「揭穿公司面紗原則」，於在承認獨立法人格及股東有限責任制度之基礎上，例外揭穿公司的面紗即否認獨立法人格及股東有限責任，進而使公司之股東為其債務負責。 美國實務累積許多揭穿公司面紗原則之案件，惟對於適用之要件仍相當模糊，皆係各法院個案判斷。我國於民國102年增訂公司法第154條第2項將揭穿公司面紗原則明文化，惟因為法條文義不清楚

，導致我國實務適用揭穿公司面紗原則時有要件不明確的問題。 本文將整理美國對於揭穿公司面紗原則所發展出的學說及考量要件，並解析美國法院之適用結果，並與我國實務之案件做比較，並針對我國適用之各種面向提出建議。
