目前國際上文獻研究指出,私募股權購併能提升家族企業的公司治理、提供關鍵的人才與資源並協助家族傳承;但同時也會令家族企業擔心喪失控制權、與私募股權的目標不一致、降低家族的社會情感財富(Socioemotional Wealth)等負面效益。同時當前台灣家族企業所處的環境,內部面臨到接班傳承的困境,外部面臨到企業轉型的壓力,在此環境背景下,願意接受私募股權購併的主要動機為何,是本文主要希望探討的。本文以個案研究的方式來進行,選取過去五個具代表性的購併個案,分別是億豐窗簾、復盛應用、李長榮化工、百略醫學與福盈科,並使用家族企業決策模型: Threshold Theory,將接受購併動機拆分成屬於財

務績效考量的跨國銷售需求,與Socioemotional Wealth考量的保有控制權與二代接班主導,分別對個案進行分析。研究結果發現,影響接受購併的最主要因素,是企業主是否有退位的計畫,大部分來自於二代接班規劃,少部分為企業主裸退或是退居二線。另外,若是有二代接班規劃的企業,則希望保留控制權也是接受的動機之一。而財務面的跨國銷售需求,則非接受購併的動機,反而是私募股權的特性是否與企業未來發展的策略互補,才是重要關鍵。此研究結果對管理的意涵,對家族企業而言,接受私募股權購併的前提,要確認其能對公司未來發展策略有所幫助。對私募股權而言,要持續保持跟家族企業的往來,才能夠在企業主有退位規劃時,搶得

購併的提案機會,並且要確認此提案能符合企業的未來發展方向。

我國發展生技醫藥產業已經超過40年,直到今年生技產業仍然被列為國家級重點政策產業,願景為建置台灣成為亞太生技醫藥產業重鎮。經過政府長期投資,台灣生技醫療產業已具有國際競爭的基礎實力與優勢。然而,生技產業因其獨特的高進入門檻,在創業期之後到進入上市準備之間,便是生技公司難以跨越的資金鴻溝,尤其在2016年之後,台股中的生技公司股價泡沫化,使得募資更加困難。過去大部分台灣的生技產業僅憑自身的資源與力量,資金來源有限,近年透過募資引進策略型投資人的合作越來越頻繁,2018年李長榮化工和百略醫學皆是依循與國際私募股權基金的收購私有化下市,為台灣私募交易指標性案例。本文以私募股權資金為研究對象,探討生
